1. Description of Service

xeBits Directory is a localized business directory strictly dedicated to promoting and cataloging local businesses operating within the United States. Our directory includes, but is not limited to, the following categories: Shopping, Dining, Home and Auto Services, Health and Beauty, Financial and Legal Services, and Real Estate and Mortgage Services.

United States Only: The Site is intended solely for businesses physically located and operating within the United States, and for users accessing the Site from within the United States. By using this Site, you represent and warrant that you meet this geographic requirement.

2. Account Registration

To post a listing, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Ownership and Content Terms

3.1 Content Ownership:

  • Your Content: As between you and xeBits Directory, you own the content, text, logos, images, and other materials you submit to the Site ("User Content").
  • xeBits Directory Content: We own the xeBits Directory Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation (including, but not limited to, our selection, coordination, aggregation, and arrangement of User Content and other Site content), computer code, products, software, aggregate ratings, and all other elements and components of the Site, excluding your User Content and Third-Party Content. We also own the copyrights, trademarks, service marks, trade names, trade secrets, and other intellectual and proprietary rights throughout the world associated with the xeBits Directory Content and the Site, which are protected by copyright, trade dress, patent, trademark, and trade secret laws and all other applicable intellectual and proprietary rights and laws. As such, you may not sell, license, copy, publish, modify, reproduce, distribute, create derivative works or adaptations of, publicly display, or in any way use or exploit any of the xeBits Directory Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Site and the xeBits Directory Content are retained by us.

3.2 Marketing License to xeBits Directory: By submitting User Content to the Site, you grant xeBits Directory a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and non-exclusive license to use, reproduce, adapt, modify, publish, publicly display, and distribute your business listing and User Content. Specifically, you agree that xeBits Directory may use your listing, logo, and User Content in our own internal and external marketing, advertising, sales, and promotional materials.

3.3 Responsibility for Content: You are solely responsible for the User Content you post on the Site. You represent and warrant that you have all necessary rights, licenses, and permissions to post the content and that your content does not violate the intellectual property rights, privacy rights, or legal rights of any third party.

3.4 Permanence of Content: Please be advised that xeBits Directory operates as a public directory. Once content or a business listing is posted, it may not be removed. We reserve the right to retain, display, compile, and maintain your business listing on our Site indefinitely, even if your business changes ownership, or you request the deletion of your account, except where explicitly required by applicable law.

4. Prohibited Content and Industries

To maintain the integrity and safety of our directory, xeBits Directory strictly prohibits the listing of certain industries and the posting of certain types of content. You agree not to post any listing, link, or content related to the following:

  • Pornography or Adult Entertainment: Any sexually explicit content, adult novelty stores, escort services, or related businesses.
  • Marijuana/Cannabis: Marijuana dispensaries, growers, delivery services, or related paraphernalia shops, regardless of whether such businesses are legal under your specific state's laws.
  • Illegal Activities: Any business promoting illegal acts, weapons, illicit drugs, or violence.
  • Inappropriate Content: Any business, content, or listing that xeBits Directory, in its sole and absolute discretion, deems inappropriate, offensive, discriminatory, harmful, or detrimental to our brand or our users.

We reserve the right to reject, suspend, or delete any listing or account at any time, without notice, if we determine that it violates these Terms.

5. Disclaimer of Warranties

To the fullest extent permitted by applicable law, xeBits Directory, its owners, affiliates, and employees shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site, your business listing, or your inability to use the Site. This includes, but is not limited to, loss of profits, data, or business goodwill.

7. Indemnification

You agree to indemnify, defend, and hold harmless xeBits Directory and its affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Site, your User Content, or your violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Douglas County.
